IMPORTANT — READ CAREFULLY BEFORE USING THIS SOFTWARE. BY INSTALLING, COPYING,
ACCESSING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS
OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.

1. DEFINITIONS

"Licensor" means Max Ritter (@maxritter), the sole copyright holder and
developer of Pilot Shell.

"Software" means Pilot Shell in its entirety, including but not limited to all
source code, object code, compiled binaries, scripts, configuration files,
rules, skills, commands, hooks, plugins, documentation, assets, user interface
components, and any updates, patches, or modifications provided by the Licensor.

"Source Code" means the human-readable portions of the Software made available
by the Licensor for inspection and modification by authorized Licensees.

"Compiled Components" means any portions of the Software distributed in object
code, bytecode, or otherwise non-human-readable form, including but not limited
to the Cython-compiled launcher binary.

"Licensee" or "You" means the individual or legal entity exercising rights under
this Agreement.

"Subscription" means an active, paid license purchased from the Licensor through
the official channels at https://pilot-shell.com, or a valid trial
period that has not expired.

"Output" means any code, artifacts, configurations, files, extensions, or other
materials generated by You through Your use of the Software, excluding the
Software itself.

"License Key" means any technical mechanism, authentication system, license
verification process, or access control functionality embedded in or used by the
Software to verify Subscription status or enforce this Agreement.

"Derivative Work" means any work that is based on, incorporates, is adapted
from, or is derived in whole or in part from the Software or any portion
thereof, including but not limited to modifications, translations, adaptations,
enhancements, extensions, ports, and any software that reuses substantial
portions of the Software's architecture, structure, or code.

2. GRANT OF LICENSE

Subject to the terms of this Agreement and an active Subscription, the Licensor
grants You a limited, non-exclusive, non-transferable, non-sublicensable,
revocable license to:

  (a) USE the Software on machines owned or controlled by You, solely for Your
      internal business or personal purposes;

  (b) VIEW AND INSPECT the Source Code for the purpose of understanding,
      auditing, and evaluating the Software's functionality;

  (c) MODIFY the Source Code solely for Your own internal use, provided such
      modifications are not distributed, published, shared, or otherwise made
      available to any third party;

  (d) CREATE OUTPUT using the Software. All Output You generate belongs to You
      and may be used by You for any purpose, including commercial purposes,
      in perpetuity, even after Your Subscription ends.

  (e) ENTERPRISE SOURCE CODE LICENSE. Subject to an active Enterprise
      Subscription, the Licensor grants You the additional right to receive,
      copy, modify, and create Derivative Works of the complete Software source
      code, including Compiled Components, solely for Your internal business
      purposes. This includes the right to fork, adapt, and deploy customized
      versions of the Software within Your organization. This right does not
      include the right to redistribute, sublicense, sell, or make available
      any such Derivative Works to third parties outside Your organization.
      The Enterprise Source Code License is available only to organizations
      with one hundred (100) or more developer seats under a separate Enterprise
      agreement with the Licensor.

3. TRIAL PERIOD

The Licensor may offer a limited trial period (currently seven (7) days) for
evaluation purposes. The trial begins automatically upon first use of the
Software, requires no payment, and is limited to one trial per machine. During
the trial period, the same rights and restrictions of this Agreement apply. Upon
expiration of the trial period, continued use of the Software requires a paid
Subscription.

4. RESTRICTIONS

You shall NOT, and shall not permit any third party to:

  (a) REDISTRIBUTE, distribute, publish, make available, share, sublicense,
      sell, resell, lease, rent, lend, or otherwise transfer the Software or any
      portion thereof (including Source Code, Compiled Components, or any
      modified version) to any third party, whether for commercial or
      non-commercial purposes;

  (b) CREATE OR DISTRIBUTE DERIVATIVE WORKS based on the Software or any
      portion thereof, except as expressly permitted under Section 2(e)
      (Enterprise Source Code License). You may modify the Source Code for Your
      own internal use as permitted under Section 2(c), but You may not
      distribute, publish, or make available any Derivative Work to any third
      party;

  (c) REBRAND, rename, or present the Software or any portion thereof as Your
      own product, or remove, alter, or obscure any proprietary notices,
      labels, trademarks, trade names, logos, copyright notices, or other
      identifiers of the Licensor;

  (d) COMPETE using the Software by creating, offering, or operating any
      product or service that competes with or substitutes for the Software,
      whether by incorporating, adapting, or reverse-engineering the Software
      or any portion thereof;

  (e) CIRCUMVENT, disable, tamper with, bypass, or interfere with the License
      Key functionality, authentication mechanisms, Subscription verification,
      or any other access control or copy protection features of the Software;

  (f) REVERSE ENGINEER, decompile, disassemble, or otherwise attempt to derive
      the source code of the Compiled Components, except to the extent that
      such activity is expressly permitted by applicable law notwithstanding
      this limitation;

  (g) PROVIDE HOSTED ACCESS to the Software or any substantial portion of its
      features or functionality as a hosted service, managed service,
      software-as-a-service, platform-as-a-service, or any similar offering to
      third parties;

  (h) USE the Software without a valid Subscription or outside the scope of an
      active trial period;

  (i) REMOVE OR MODIFY any license files, license checks, or licensing-related
      code within the Software.

5. SOURCE CODE AVAILABILITY

The Licensor makes certain portions of the Software's Source Code available for
inspection and internal modification by authorized Licensees. This availability
does not constitute an open-source license, a grant of redistribution rights, or
a waiver of any intellectual property rights. The Source Code remains the
exclusive property of the Licensor and is protected by copyright and other
intellectual property laws.

The availability of Source Code is provided as a convenience for transparency,
security auditing, and internal customization. It does not grant any rights
beyond those expressly stated in Section 2 of this Agreement.

6. INTELLECTUAL PROPERTY

  (a) OWNERSHIP. The Software, including all Source Code, Compiled Components,
      documentation, and associated intellectual property, is and shall remain
      the sole and exclusive property of the Licensor. This Agreement does not
      convey any ownership interest in the Software.

  (b) YOUR OUTPUT. Notwithstanding the foregoing, all Output generated by You
      through Your use of the Software is owned exclusively by You. The
      Licensor claims no rights to Your Output.

  (c) FEEDBACK. Any suggestions, ideas, or feedback You provide to the Licensor
      regarding the Software may be used by the Licensor without obligation or
      compensation.

7. SUBSCRIPTION AND PAYMENT

  (a) USE OF THE SOFTWARE BEYOND THE TRIAL PERIOD REQUIRES AN ACTIVE
      SUBSCRIPTION. Subscription terms, pricing, and payment terms are as
      published at https://pilot-shell.com and may be updated by the
      Licensor from time to time.

  (b) FAILURE TO MAINTAIN an active Subscription terminates Your rights under
      Section 2(a), 2(b), and 2(c) of this Agreement. Your rights under
      Section 2(d) regarding previously generated Output survive termination.

8. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED,
ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT
DEFECTS WILL BE CORRECTED.

YOU ASSUME ALL RISK AND RESPONSIBILITY FOR THE SELECTION, INSTALLATION, USE, AND
RESULTS OBTAINED FROM THE SOFTWARE. NO ORAL OR WRITTEN INFORMATION OR ADVICE
PROVIDED BY THE LICENSOR SHALL CREATE A WARRANTY NOT EXPRESSLY STATED HEREIN.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE
LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF
REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL,
BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF
OR RELATED TO THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE,
REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT
LIABILITY, OR OTHERWISE), EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT
EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO THE LICENSOR FOR THE SOFTWARE DURING
THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE
CLAIM.

10. TERMINATION

  (a) This Agreement is effective until terminated. Your rights under this
      Agreement terminate automatically and without notice if You fail to
      comply with any term of this Agreement or if Your Subscription expires
      or is cancelled.

  (b) Upon termination, You must immediately cease all use of the Software and
      destroy all copies of the Software in Your possession or control,
      including any modified versions.

  (c) The following sections survive termination: Section 1 (Definitions),
      Section 2(d) (Output ownership), Section 4 (Restrictions), Section 6
      (Intellectual Property), Section 8 (Warranty Disclaimer), Section 9
      (Limitation of Liability), Section 10 (Termination), and Section 11
      (General Provisions).

  (d) The Licensor reserves the right to terminate this Agreement or any
      Subscription at any time for cause, including but not limited to
      violation of the restrictions in Section 4.

11. GENERAL PROVISIONS

  (a) ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between
      the parties with respect to the Software and supersedes all prior or
      contemporaneous communications, agreements, and understandings.

  (b) SEVERABILITY. If any provision of this Agreement is held to be
      unenforceable or invalid, such provision shall be modified to the minimum
      extent necessary to make it enforceable, and the remaining provisions
      shall continue in full force and effect.

  (c) NO WAIVER. The failure of the Licensor to exercise or enforce any right
      or provision of this Agreement shall not constitute a waiver of such
      right or provision.

  (d) ASSIGNMENT. You may not assign or transfer this Agreement or any rights
      or obligations hereunder without the prior written consent of the
      Licensor. The Licensor may assign this Agreement without restriction.

  (e) GOVERNING LAW. This Agreement shall be governed by and construed in
      accordance with the laws of the Federal Republic of Germany, without
      regard to its conflict of law provisions. Any disputes arising under
      this Agreement shall be subject to the exclusive jurisdiction of the
      courts located in Germany.

  (f) AMENDMENTS. The Licensor reserves the right to modify this Agreement at
      any time. Continued use of the Software after such modification
      constitutes acceptance of the modified terms.

  (g) EXPORT COMPLIANCE. You shall comply with all applicable export control
      laws and regulations in Your use of the Software.

  (h) NOTICES. All notices required or permitted under this Agreement shall be
      directed to the Licensor through the official channels published at
      https://pilot-shell.com.
